These Terms and Conditions (“Terms”) govern your use of our online platform and the business consulting services provided by Dominion Lyra. By accessing or using our services, you agree to comply with and be bound by these Terms.

1. Acceptance of Terms

By engaging with Dominion Lyra for services such as organizational structure analysis, operational efficiency improvements, market entry strategy, leadership development, digital transformation consulting, merger and acquisition support, sustainability consulting, risk management, ancient historical context integration into modern business narratives, or cultural heritage preservation advisory, you signify your unreserved acceptance of these Terms. If you do not agree to these Terms, you may not use our services.

2. Services Provided by Dominion Lyra

Dominion Lyra offers a comprehensive range of business consulting and strategic advisory services. Details of specific engagements will be outlined in separate service agreements or proposals, each forming an integral part of these Terms.

3. Client Responsibilities

As a client, you agree to provide timely, accurate, and complete information necessary for Dominion Lyra to perform its services. You are responsible for decisions made based on the advice and recommendations provided by us, acknowledging that business outcomes depend on various factors beyond our control.

4. Intellectual Property

All materials, methodologies, reports, analyses, and intellectual property developed or provided by Dominion Lyra during the course of delivering services remain the exclusive property of Dominion Lyra, unless explicitly agreed otherwise in writing. Clients are granted a non-exclusive, non-transferable license to use such materials for internal business purposes related to the specific engagement.

5. Confidentiality

Both Dominion Lyra and its clients agree to maintain the confidentiality of all proprietary and confidential information disclosed during the course of their engagement. This obligation survives the termination of any service agreement.

6. Fees and Payments

Fees for Dominion Lyra's services will be specified in individual service agreements or proposals. Payments are due according to the terms outlined therein. Late payments may incur interest charges as permitted by law.

7. Limitation of Liability

To the fullest extent permitted by law, Dominion Lyra shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use our services; (b) any conduct or content of any third party on our services; or (c) unauthorized access, use or alteration of your transmissions or content.

8. Termination

Either party may terminate a service agreement under terms specified within that agreement. Upon termination, any outstanding fees become immediately due. The provisions concerning confidentiality, intellectual property, and limitation of liability shall survive termination.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.

10. Changes to Terms

Dominion Lyra reserves the right, at our sole discretion, to modify or replace these Terms at any time. We will provide reasonable notice of any material changes. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.
